SEC's no-action relief addresses Canton's decentralized structure, established utility, and programmatic rewards model
NEW YORK, Nov. 4, 2026 /PRNewswire/ -- The staff of the U.S. Securities and Exchange Commission (SEC) has granted no-action relief confirming that Canton Coin, the native token of Canton, the public, permissionless blockchain purpose-built for institutional finance, is a digital commodity and not a security.
The SEC's no-action relief also covers the minting of Canton Coin by network participants– including Super Validators, Validators, and application providers– confirming that such minting can occur without registration under Section 5 of the Securities Act or Section 12(g) of the Exchange Act.
The no-action relief gives institutions and developers greater regulatory certainty to participate in Canton and earn rewards for supporting the network.
The no-action relief is the first of its kind granted by the SEC staff since the Commission's publication of its March 2026 Interpretive Release on the Application of the Federal Securities Laws to Certain Types of Crypto Assets and Certain Transactions Involving Crypto Assets and its August 2026 Regulation Crypto Assets proposal.
Central to the SEC staff's assessment were two defining characteristics of Canton:
- the network operates without a central party controlling participation or reward distribution, and
- it was already a functional blockchain network when Canton Coin launched
The decision reaffirms the approach taken to establish Canton. Its underlying technology was developed and demonstrated through real-world financial applications before leading financial institutions came together to launch the network. Additionally, Canton Coin was introduced without an initial coin offering or pre-mine sale, with tokens initially earned exclusively through contributions to operating network infrastructure and applications.
"Financial institutions need confidence in both the technology they use and the economic model that supports it," said Yuval Rooz, CEO of Digital Asset, creators of the Canton Network. "This decision provides important clarity around how a public blockchain can incentivize participation while operating within established regulatory frameworks. It also creates new opportunities for institutions and developers to engage with Canton as more of the world's financial markets move onchain."
Canton plays a leading role in the institutional growth of onchain finance. By helping bring securities, collateral, payments, derivatives, treasury management, and digital cash onchain, it connects financial institutions and applications while preserving the privacy and controls regulated markets require.
